Weaver and Tidwell Launches Transaction Advisory Services

1 Sep 2009

Weaver and Tidwell LLP announces the launch of a new Transaction Advisory Services practice that will provide due diligence and business valuations to private equity companies as well as companies that are in transition. This practice will be led by Brian A. Reed, CPA, CVA and new director of Transaction Services.
With offices in Dallas, Fort Worth, Houston, San Antonio and Austin, Weaver and Tidwell is ranked by Practical Accountant magazine as the Southwest's largest regional independent certified public accounting firm.

Weaver and Tidwell's Transition Advisory Services practice offers business valuations based on accounting, tax and finance expertise combined with the use and development of sophisticated valuation methodologies that provide complex financial reporting and tax requirements. Valuation services include purchase price allocations (SFAS 141R), goodwill and intangible asset impairment (SFAS 142), option and warrant valuations (SFAS 123R and IRC 409A), fresh start accounting, taxes and regulatory estate planning and mergers and acquisitions.

"With all the corporate challenges and complex changes currently taking place, transaction advisory services will support our clients as they deal with business matters," said Tommy D. Lawler, Weaver and Tidwell's managing partner and CEO. "This new niche practice combined with Brian's experience will allow us to offer this service to a variety of industries, including private equity entities and hedge funds."

In his new position, Reed will act as the director managing the delivery and marketing of the service, and will oversee due diligence activities on both the buy-side and sell-side of corporate transactions.
Reed brings to the firm more than 11 years of financial advisory experience, including financial due diligence and business valuation for a variety of industries. Prior to joining Weaver and Tidwell, he founded Lone Star Value Advisors Inc. a professional valuation and advisory firm that offered comprehensive services to middle-market private equity funds and corporate clients. Reed's specific industry knowledge encompasses manufacturing, distribution, technology, professional services and oil and gas. His experience embraces due diligence engagements ranging from $1 million to more than $500 million. Reed has also performed a significant number of valuation engagements related to purchase price allocations, goodwill impairment analysis, option contracts and gift and estate taxes. His client work incorporated both private equity and corporate clients.

Reed earned a Bachelor of Arts degree from The University of Texas at Austin and a Masters in Business Administration degree concentrating in finance and accounting from Tulane University's Freeman School of Business. He is a member of the American Institute of Certified Public Accountants (AICPA) and the Texas Society of Certified Public Accountants (TSCPA).
